1. Acceptance of Terms

By accessing or using the TradeStation ProSync platform, website, mobile application, or any related services (collectively, the "Platform"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to all of these Terms, do not access or use the Platform.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and TradeStation ProSync ("Company," "we," "us," or "our"). We reserve the right to modify these Terms at any time, and we will notify you of material changes by posting the updated Terms on this page with a new effective date. Your continued use of the Platform following the posting of changes constitutes acceptance of those changes.

2. Eligibility

To use the Platform, you must:

• Be at least 18 years of age (or the age of majority in your jurisdiction) • Be a resident of a jurisdiction where such services are legally available • Have the legal capacity to enter into a binding contract • Not be a person barred from receiving such services under applicable law • Have completed identity verification (KYC) as required by applicable regulations

By using the Platform, you represent and warrant that you meet all eligibility requirements. We may require additional documentation to verify your eligibility and identity at any time.

3. Account Registration & Security

3.1 Registration. You must create an account to access most features of the Platform. You agree to provide accurate, current, and complete information during registration and to update such information as necessary.

3.2 Account Security. You are responsible for maintaining the confidentiality of your account credentials. You agree to: (a) use a strong, unique password; (b) enable two-factor authentication when available; (c) notify us immediately of any unauthorized access; and (d) log out of your account when not in use.

3.3 Account Responsibility. You are responsible for all activities that occur under your account, whether or not you authorized them. We will not be liable for any loss or damage arising from unauthorized access to your account resulting from your failure to maintain the security of your credentials.

3.4 One Account Per Person. You may not create multiple accounts. We reserve the right to close duplicate accounts and transfer balances to a single account at our discretion.

4. Platform Services

4.1 Trading Services. The Platform provides access to trading in stocks, ETFs, options, futures, forex, and digital assets. All trading is subject to applicable market rules, exchange requirements, and regulatory guidelines.

4.2 Paper Trading. Paper trading accounts are for simulation purposes only. Simulated performance does not guarantee or predict actual trading results. Virtual funds have no real monetary value.

4.3 Automated Strategies. Automated trading strategies are provided as tools only. You are responsible for configuring, monitoring, and managing any automated strategies. The Company is not responsible for losses resulting from automated strategy execution.

4.4 Third-Party Services. The Platform may include charts, data feeds, and tools provided by third parties (including TradingView). Your use of such services is subject to those providers' terms and conditions.

4.5 Service Availability. We strive to maintain 99.9% uptime but do not guarantee uninterrupted access. Scheduled maintenance, market events, or technical issues may cause temporary unavailability.

5. Trading Risk Disclosure

TRADING INVOLVES SUBSTANTIAL RISK OF LOSS. BEFORE TRADING, CAREFULLY CONSIDER YOUR OBJECTIVES, FINANCIAL RESOURCES, AND RISK TOLERANCE.

5.1 Market Risk. Financial markets can be volatile and unpredictable. The value of your investments may decrease as well as increase. You may lose some or all of your invested capital.

5.2 Leverage Risk. Leveraged products, including futures, forex, and options, can result in losses greater than your initial investment. Margin calls may require you to deposit additional funds or have your positions liquidated at a loss.

5.3 Liquidity Risk. In certain market conditions, it may be difficult or impossible to execute orders at desired prices, resulting in slippage and increased losses.

5.4 Past Performance. Past performance of any trading strategy or investment is not indicative of future results. Historical data presented on the Platform is for informational purposes only.

5.5 Digital Asset Risk. Cryptocurrencies are subject to extreme price volatility, regulatory uncertainty, and technology risk. Digital assets are not insured by SIPC or FDIC.

6. Fees & Charges

6.1 Fee Schedule. Our current fee schedule is available on the Pricing page. Fees may include commissions, spreads, rollover charges, and data fees where applicable.

6.2 Fee Changes. We reserve the right to modify our fee structure. We will provide at least 30 days' advance notice of material fee increases via email or platform notification.

6.3 Third-Party Fees. Exchange fees, regulatory fees, and other pass-through costs may apply to certain transactions. These fees are set by third parties and are not within our control.

6.4 Taxes. You are solely responsible for determining what, if any, taxes apply to your transactions. We do not provide tax advice. We may report certain transactions to tax authorities as required by law.

7. Deposits, Withdrawals & Transfers

7.1 Deposits. Funds deposited to your account are subject to verification and may be held pending clearance. We reserve the right to place holds on funds if we suspect fraud or error.

7.2 Withdrawals. Withdrawal requests are processed within the timeframes specified in our Help Center. We may delay or deny withdrawal requests where required by law, or where we suspect fraud, error, or breach of these Terms.

7.3 Balance Transfers. Peer-to-peer balance transfers between Platform users are instant and irreversible. You are responsible for verifying the recipient's identity before initiating any transfer. We are not responsible for transfers made to incorrect recipients.

7.4 Dormant Accounts. Accounts with no activity for 12+ months may be subject to dormancy fees. Accounts inactive for 36+ months may be escheated to applicable state authorities.

8. Prohibited Conduct

You agree not to:

• Violate any applicable law, regulation, or rule • Engage in market manipulation, front-running, wash trading, or any form of abusive trading • Use the Platform for money laundering, terrorist financing, or any illegal financial activity • Access the Platform through automated means without our written permission (except for authorized API use) • Share account access with other individuals or entities • Attempt to reverse-engineer, decompile, or otherwise extract source code from the Platform • Use the Platform to transmit any virus, malware, or harmful code • Provide false or misleading information during registration or account maintenance • Engage in any activity that could damage, disable, or impair the Platform

Violation of these prohibitions may result in immediate account suspension, termination, and reporting to relevant authorities.

9. Intellectual Property

9.1 Our IP. The Platform and all content, features, and functionality (including but not limited to software, text, graphics, logos, and images) are owned by the Company or its licensors and are protected by intellectual property laws.

9.2 License Grant. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal trading purposes.

9.3 Restrictions. You may not: (a) copy, modify, or create derivative works of the Platform; (b) rent, lease, or sublicense access to the Platform; (c) use any data mining or similar data gathering methods; or (d) remove or alter any proprietary notices.

9.4 User Content. Any feedback, suggestions, or other content you submit to us becomes our property and may be used for any purpose without compensation to you.

10. Privacy & Data

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to our collection, use, and sharing of your information as described in the Privacy Policy.

We implement industry-standard security measures to protect your personal and financial information. However, no transmission over the internet is completely secure, and we cannot guarantee the absolute security of your data.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

11.1 The Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, or loss of goodwill.

11.2 The Company's total aggregate liability to you for any claims arising out of or related to these Terms or your use of the Platform shall not exceed the lesser of: (a) the total fees you paid to the Company in the 12 months preceding the claim, or (b) $1,000 USD.

11.3 These limitations apply regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise) and even if the Company has been advised of the possibility of such damages.

11.4 Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless the Company, its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms • Your use of the Platform • Your violation of any third-party rights • Any trading activity conducted through your account • Your violation of any applicable laws or regulations

13. Termination

13.1 By You. You may close your account at any time by contacting our support team. Upon closure, any outstanding positions must be closed and remaining funds withdrawn.

13.2 By Us. We may suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to: violation of these Terms, suspected fraud, regulatory requirements, or inactivity.

13.3 Effect of Termination. Upon termination, your right to use the Platform immediately ceases. We will close any open positions and process the withdrawal of remaining cleared funds, subject to any applicable holds, fees, or regulatory requirements.

14. Dispute Resolution

14.1 Informal Resolution. Before filing any formal dispute, you agree to contact us at support@tradestationprosync.com and attempt to resolve the dispute informally for at least 30 days.

14.2 Arbitration. Any dispute arising from these Terms or your use of the Platform shall be resolved by binding arbitration under the rules of the American Arbitration Association ("AAA"), except as otherwise provided herein.

14.3 Class Action Waiver. YOU AND THE COMPANY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

14.4 Governing Law. These Terms are governed by the laws of the State of Florida, without regard to its conflict of law provisions.

15. General Provisions

15.1 Entire Agreement. These Terms, together with our Privacy Policy and any other agreements incorporated herein, constitute the entire agreement between you and the Company regarding the Platform.

15.2 Severability. If any provision of these Terms is held invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force.

15.3 Waiver. Our failure to enforce any right or provision shall not constitute a waiver of such right or provision.

15.4 Assignment. You may not assign or transfer these Terms or any rights hereunder without our written consent. We may assign our rights under these Terms without restriction.
